These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Founder", "Investor", or "Member") and Delhi Angel Network ("DAN", "we", "our", "us").

By accessing our website (delhiangelnetwork.in), submitting application forms, applying for mentorship, enrolling in paid membership tiers, or attending network events, you represent and warrant that you are at least 18 years of age, legally capable of entering into binding contracts under the Indian Contract Act, 1872, and agree to be bound by these Terms.

2. Scope of Services

Delhi Angel Network operates as a startup ecosystem facilitator, syndicate coordinator, and venture advisory network. Our services include:

• Startup Advisory & Artifact Creation: Investor pitch deck creation, financial modeling, valuation reports, and grant application support.
• Investor Matchmaking & Deal Curation: Presenting vetted early-stage startups to angel investors and syndicates for independent investment consideration.
• Membership Programs: Community memberships providing access to investor webinars, founder masterclasses, and curated networking sessions.
• Founder Mentorship: 1-on-1 strategic mentorship sessions with experienced entrepreneurs and investors.
• Ecosystem Events: Offline demo days, roundtables, and pitch sessions held at partner academic and industry hubs (IIT Delhi, DTU, NASSCOM, Amity).

3. Regulatory & Investment Risk Disclaimer

No Broker-Dealer or Financial Advice Status: Delhi Angel Network is NOT a registered stock exchange, broker-dealer, SEBI-registered Portfolio Management Service (PMS), or Alternative Investment Fund (AIF) manager. We do not provide personalized financial, legal, taxation, or investment advice.

All investment decisions are made independently and voluntarily by participating angel investors at their own sole risk. Investors are strongly advised to conduct their own independent legal, financial, and technical due diligence before entering into term sheets or shareholders' agreements.

4. Founder Representations & Warranties

When applying for funding, pitch reviews, or advisory services, founders expressly warrant that:

• All submitted business information, valuation figures, cap tables, traction numbers, and financial statements are accurate, true, and not misleading.
• You hold the legal right, power, and intellectual property ownership or licenses necessary to commercialize your product or technology.
• Submission of materials does not infringe upon any third-party patent, copyright, trade secret, or non-disclosure agreement.
• You understand that Delhi Angel Network does not guarantee fundraising success, investor term sheets, or specific company valuations.

5. Investor Code of Conduct & Confidentiality

Angel investors participating in Delhi Angel Network events or accessing deal memos agree to maintain strict confidentiality regarding all non-public founder materials, trade secrets, and financial metrics shared during pitch sessions.

Investors acknowledge that they qualify as sophisticated / accredited investors who understand early-stage venture risks and will not solicit founders for predatory terms outside established syndicate standards.

6. Paid Memberships, Fees & Payment Terms

Certain services, such as specialized advisory, pitch deck design, financial modeling, valuation certifications, webinar registrations, and premium membership tiers (Growth, Elite, Angel Club), require the payment of non-negotiable fees.

• Fees must be paid in full in advance through our authorized payment gateways or designated bank accounts.
• All listed prices are in Indian Rupees (INR) and are subject to applicable Goods and Services Tax (GST) as per Indian tax laws.
• Membership privileges and service deliverables are active only upon verified receipt of payment.

7. Strict No-Refund Policy

Delhi Angel Network does not issue refunds for change of mind, inability to attend scheduled events, dissatisfaction with investor feedback, or unsuccessful fundraising outcomes.

Any exception (such as a technical duplicate billing error) is granted strictly at the sole and absolute discretion of Delhi Angel Network management. For complete terms, please refer to our full Refund Policy.

8. Intellectual Property & Brand Assets

All content, trademarks, logos, website design, text, graphics, and proprietary evaluation frameworks published on this website are the exclusive property of Delhi Angel Network and protected under Indian and international copyright and trademark laws.

Founders retain full ownership of their underlying pre-existing intellectual property, product designs, and confidential business plans.

9. Limitation of Liability & Indemnity

To the maximum extent permitted by applicable Indian law, Delhi Angel Network, its directors, partners, employees, and advisors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, investment capital loss, goodwill, or business interruption.

You agree to defend, indemnify, and hold harmless Delhi Angel Network from and against any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms, misrepresentation of startup information, or unauthorized breach of third-party IP rights.

10. Governing Law & Dispute Resolution

These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India.

Any dispute, controversy, or claim arising out of or relating to these Terms or platform services shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.
